Terms of Service
These Terms of Service ("Terms") govern your access to and use of CodaURL, including its website, mobile applications, API, CLI, and URL monitoring services (collectively, the "Service"). The Service is developed and operated by CodaSky LLC ("CodaURL," "we," "us," or "our").
1. Acceptance of These Terms
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Accounts
- You must be at least 18 years old, or the age of majority where you live, to use the Service.
- You are responsible for providing accurate account information and keeping it current.
- You are responsible for safeguarding your credentials and for activity under your account.
- You must promptly notify us if you suspect unauthorized access to your account.
3. The Service
CodaURL monitors HTTPS URLs and related endpoints according to the configuration you provide. The Service may record availability status, HTTP responses, latency, errors, transitions, and notification history. Monitoring results are informational and may be affected by network conditions, endpoint configuration, provider outages, and other factors.
Features, limits, supported integrations, and availability may differ by plan and product surface. We may change, suspend, or discontinue features as the Service develops.
4. Acceptable Use
You may not use the Service to:
- Break the law, infringe another party's rights, or violate applicable regulations.
- Monitor an endpoint without authorization or interfere with another system's operation.
- Send abusive, excessive, or fraudulent requests, or attempt to bypass plan limits or security controls.
- Probe, scan, exploit, or gain unauthorized access to systems or networks.
- Transmit malware, harmful code, or content that is unlawful or misleading.
- Use the Service to provide emergency, safety-critical, or life-critical monitoring where a missed or delayed alert could cause harm.
5. URLs, Content, and Integrations
You retain responsibility for the URLs, configuration, webhook destinations, and other data you submit to the Service ("Your Data"). You represent that you have the rights and permissions needed for us to process Your Data to provide the Service.
If you connect third-party services such as Telegram, webhooks, app stores, or billing providers, those services are governed by their own terms and policies. You are responsible for reviewing their permissions and configuration.
6. API, CLI, and AI Agent Access
API tokens and CLI credentials must be kept confidential. You may not share credentials outside the people or systems authorized to use your account. You are responsible for actions performed through your tokens, including actions performed by an AI agent that you configure to use the Service.
7. Plans, Fees, and Subscriptions
If paid plans or subscriptions are offered, pricing, limits, renewal, cancellation, and applicable taxes will be shown before purchase or in the applicable purchase flow. Mobile subscriptions may be billed and managed through the relevant app store or billing provider. We may suspend paid features for failed or reversed payments, subject to applicable law.
8. Intellectual Property
We and our licensors own the Service, including its software, design, documentation, trademarks, and other content, except for Your Data and third-party materials. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as permitted by these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works from the Service except where applicable law does not allow that restriction.
9. Availability and Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. CodaURL does not guarantee that every check or alert will be timely, complete, or accurate.
10. Limitation of Liability
To the maximum extent permitted by law, CodaSky LLC and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or business opportunities arising from or related to the Service. Our total liability for claims arising from the Service will not exceed the greater of the amount you paid us for the Service during the three months before the event giving rise to the claim or one hundred U.S. dollars (US$100).
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless CodaSky LLC and its officers, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your use of the Service, Your Data, your violation of these Terms, or your violation of another party's rights.
12. Suspension and Termination
We may suspend or terminate access to the Service if you violate these Terms, create security or legal risk, fail to pay applicable fees, or if we discontinue the Service. You may stop using the Service or request account deletion as described in the Privacy Policy. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and governing law.
13. Changes to These Terms
We may update these Terms as the Service changes. We will post the updated Terms on this page and update the Effective Date. If a change is material, we may provide additional notice when required by law. Continued use of the Service after the updated Terms take effect constitutes acceptance to the extent permitted by law.
14. Governing Law
These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws principles, except where applicable law requires otherwise.
